11. Entire Agreement and Severability. Unless you have entered into another written agreement regarding the Software signed by you and an authorized representative of us that conflicts with the terms of this EULA, you agree that this EULA supersedes all prior written or oral agreements, warranties or representations with respect to the use of the Software. If any provision (or part thereof) of this EULA is held to be invalid or unenforceable, the remaining provisions (including other valid parts in the applicable period) will remain in full force and effect. You acknowledge that you have read and understand this EULA, that you agree to be bound by its terms and conditions, and that this is the complete and exclusive statement of the agreement between you and us with respect to the Software. Our failure to insist on or enforce strict compliance with this EULA does not constitute a waiver of any of our rights. 4.5 End User. You will be deemed to have taken any action that you authorize, support or facilitate any person or entity in connection with this Agreement, your Content or the use of the Service Offerings. You are responsible for the use of your content and service offerings by end users. You will ensure that all End Users comply with your obligations under this Agreement and that the terms of your Agreement with each End User comply with this Agreement. If you become aware of a breach of your obligations under this Agreement by an End User, you will immediately suspend end User`s access to your Content and Service Offerings. We do not provide support or services to end users unless we have a separate agreement with you or an end user that requires us to provide such support or services. 12.1.
We may change the user credentials you have created with IAM if we determine, in our reasonable discretion, that a change is necessary to protect your AWS account and resources, and we will promptly notify you of such change. (q) export, import and regulatory restrictions. You acknowledge that the Software is subject to the export jurisdiction of the United States. You are solely responsible for compliance with all applicable laws governing the downloading, installation and use of the Software in your jurisdiction. You must not export, re-export or transfer, directly or indirectly, the Software or computer equipment or any device containing the Software to any country, person, business, organization or entity to which such export, re-export or transfer is restricted or prohibited, including any country, individual, company, organization or legal entity subject to sanctions or embargoes administered by the Organization of United Nations. United States Department of State, Department of the Treasury or Commerce, European Union, or any other relevant government agency, including any end-user, end-use, and destination restrictions adopted by the United States and other governments. You represent and warrant that you and your financial institution(s) are not subject to sanctions or otherwise appear on or are owned or controlled by any list of prohibited or restricted parties, including, but not limited to, lists maintained by the United Nations Security Council, the United States Government (for example. B the List of Specially Designated Nationals of the United States Department of the Treasury and the List of Aliens, and the List of Entities of the United States Department of Commerce), the European Union or its Member States, or any other relevant government agency. You understand that certain features of the Software, such as encryption or authentication, may be subject to restrictions on use, import or export if you transfer the Software from the country of delivery, and you are responsible for compliance with such applicable restrictions. The Software is provided to the U.S.
Government in the form of “commercial items,” “commercial computer software,” “commercial computer software documentation,” and “technical data” with the same rights and restrictions that generally apply to the Software. If you use the Software on behalf of the United States Government and these Terms do not comply with the requirements of the United States Government or are in any way inconsistent with federal law, you will immediately cease using the Software. The terms “business purpose,” “commercial computer software,” “commercial computer software documentation,” and “technical data” are defined in the Federal Acquisition Regulation and the Defense Federal Acquisition Supplement Regulation. 2.1 Compliance. You agree to (a) comply with all instructions and requirements contained in the Software Data Sheets, User Manuals, Security Best Practices and Guidelines, and any other documentation that we provide or make available to you in connection with the Software (the “Documentation”); and (b) all applicable local, state, national, and international laws and regulations (each such laws may be amended or amended from time to time (“Applicable Laws”) with respect to your use of the Software. › AWS Customer Agreement – this Agreement governs your use of our Services This AISPL Customer Agreement (this “Agreement”) contains the terms that govern your access to and use of the Service Offerings (as defined below); and is an agreement between Amazon Internet Services Private Limited (“AISPL”, “we”, “us” or “our”) whose registered office is located in the nos units. 1401 to 1421 International Trade Tower, Nehru Place, New Delhi 110019, India, and you or the entity you represent (“you” or “your”).
